أولا، أعدت مجموعة من الفرق مشروع الشركة، دون المصادقة على النظام الأساسي في جمع عام، ومنحت الصلاحية الكاملة للمكتب المسير للجمعية، لاتخاذ قرارات مصيرية، مثل تحديد قيمة النادي، وقيمة الأسهم ومسطرة بيعها.
واستندت هذه الأندية على المادة 15 من قانون التربية البدنية والرياضة (30-09)، الذي ينص على أن الجمعية تحتفظ ب30 في المائة على الأقل من الأسهم، و30 في المائة على الأقل من حقوق التصويت، وهو ما يجعل مصير شركات هذه الأندية بيد المكتب المسير، بما أنه الممثل القانوني للجمعية، ويملك سلطة القرار باسمها، لذا صار من حقه التصرف، كما يشاء في أسهمها.
ويؤدي هذا الوضع إلى تمتع بعض المسيرين بصلاحيات واسعة في تحديد مسطرة تقييم الممتلكات المادية والمعنوية للنادي، ومسطرة بيع الأسهم، واختيار لمساهمين، وهو ما من أشأنه أن يؤدي إلى تفويت هذه الأندية بطريقة غير مباشرة، أو الاستحواذ عليها.
وتصدى منخرطو الرجاء إلى هذا الخلل، إذ فرضوا إدراج نقطة في النظام الأساسي للشركة تنص على أن أي تصرف في الأسهم يجب عن يتم عبر الجمع العام.
ثانيا، يطرح قانون الشركات إشكالات أخرى، تعيق الاستثمار، من قبيل تحديد نصيب الجمعية في 30 في المائة على الأقل، وهذا يحول دون رفع الرأسمال، بالنسبة إلى الفرق التي تعاني مشاكل مالية، وبالنسبة إلى المستثمرين الراغبين في تطوير النادي، كما أن مدة الاتفاقية لا تتعدى عشر سنوات، وهو أجل لا يشجع المستثمرين على استثمار أموالهم، بالنظر إلى قصر المدة، والتي لم تأخذ في الاعتبار طبيعة النشاط الرياضي الحافل بالمخاطر، وغياب الضمانات، والتحفيزات.
